Affiliate Program Terms & Conditions

These Terms are a legal agreement between Platform 9 3/4 K1ngs Cross Limited a company registered in England and Wales under company number 07782986 and having its registered office at C/o Norman Stanley, Elstree House, Elstree Way, Borehamwood, Hertfordshire, WD6 1SD (“Platform 9 3/4”, “we”, “us”) and Pottermore Limited (the “Affiliate”, “you”).

By filling out the signup form you acknowledge that you have read the terms and conditions, understand, and agree with them.

Joining the Program

By filling out the signup form, and upon acceptance, you will become an affiliate and are bound by the terms of this agreement. Your participation in the program is solely for this purpose: to legally advertise our website and to receive a commission on products purchased by your referred individuals.

Affiliate Responsibilities
It is understood that you will introduce the Harry Potter Shop at Platform 9 3/4
e-commerce store which can be found at www.harrypotterplatform934.com to your current and prospective customers and will not knowingly breach any laws particularly those that govern email marketing and anti-spam laws. Platform 9 3/4 K1ngs Cross Limited reserves the right to accept or reject any prospective customers. We will pay you a commission of 10% of the Net Sales Price (where ‘Net Sales Price’ is the price paid by the customer, less VAT and any additional charges added to the sales price for delivery) in respect of all sales processed and referred by you (the “Commission”). We shall identify any sales referred by you by means of your affiliate code, which will be found in cookies deposited by us on our customer’s computers and retrieved by us during the purchase process. We shall be obliged to pay you Commission in respect of sales driven where such cookies are thirty days old or less.

Either you or Platform 9 3/4 K1ngs Cross Limited may terminate the Affiliate relationship at any time upon notice with immediate effect. You are only eligible to earn Commission during your time as an approved Affiliate. Platform 9 3/4 K1ngs Cross Limited may change the program or service policies and operating procedures at any time subject to us providing you with prior written of such changes.

Commission Payment
On the last day of each calendar month Platform 9 3/4 K1ngs Cross Limited will forward to you a statement breaking down precise Click Through Rate, units sold, gross sale price, VAT charged, delivery charges (if any), Net Sales Price, and the Commission earned on sales.

Commission due in respect of each Calendar Quarter will be paid in full to your designated bank account within 14 days following the last day of each Calendar Quarter, (where a ‘Calendar Quarter’ shall be any of the periods January-March, April-June, July-Sept, Oct-December).

Affiliate Relationship

This Affiliate relationship is one of independent contractors. Neither party will be liable for indirect, special or consequential damages arising in connection with this program and except in respect of the intellectual property rights indemnity we are providing to you (as set out below), each party’s aggregate liability arising with respect to this program will not exceed the total referral fees paid or payable to you. Save as set out herein, Platform 9 3/4 K1ngs Cross Limited makes no express or implied warranties or representations with respect to the program. In addition, Platform 9 3/4 K1ngs Cross Limited makes no representation that the operation of the service will be uninterrupted or error-free, and Platform 9 3/4 K1ngs Cross Limited will not be liable for the consequences of any interruptions or errors. Nonetheless, we warrant that during the period you are an Affiliate we will provide a customer service programme sufficient to respond promptly and efficiently to all reasonable issues raised by customers.

Governing law and jurisdiction
This legal notice shall be governed by and construed in accordance with English law. Disputes arising in connection with this legal notice shall be subject to the exclusive jurisdiction of the English Courts.

Revocation of Affiliate Status

Your affiliate application and status in the program may be suspended or terminated if, following reasonable notice from us, you have failed to rectify any material breaches relating to any of the following reasons:

Inappropriate advertisements (false claims, misleading hyperlinks)
Illegal spamming (mass email, mass newsgroup posting, etc.)
Advertising on sites containing/promoting illegal activities
Violation of intellectual property rights
Inability to setup links or refer clients to us (lack of performance)
Affiliate Links

You may use graphic and text links both on your website and in emails. The site may also be advertised "offline" in classified ads, magazines, and newspapers. You may use the graphics and text provided to you by us, or you may create your own as long as they are deemed appropriate according to the conditions above.
We warrant we are the owners or licensees of the intellectual property rights (including any copyright, design right or trade mark) in the graphics and text provided by us to you, and fully indemnify you against all and any third party claims in respect of your use of such intellectual property rights.

Terms of the agreement
These terms will begin upon your signup with the affiliate program and will end when your affiliate account is terminated. The terms of this agreement may be modified by Platform 9 3/4 K1ngs Cross Limited at any time and you will be bound by the modified terms provided we have provided you with two weeks prior written notification of such changes. If any modification to the terms is unacceptable to you, your only choice is to terminate your affiliate account. Your continuing participation in the program will constitute your acceptance of any change.

Liability
We will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, and any results of "intents of harm" to the program or our website. Save as provided herein, we do not make any expressed or implied warranties with respect to the affiliate program and/or products sold at this site. We make no claim that the operation of the affiliate program and our website will be error-free and we will not be liable for any interruptions or errors.
